Wynberg Cricket Club Constitution
Wynberg Cricket Club is one of the oldest clubs in the Western Province Cricket Association, with a history that stems back to the early 1930’s.
Our Constitution
1. NAME
The name of the Club shall be Wynberg Cricket Club and shall be referred to Hereafter as the Club.
2. HEADQUARTERS
The headquarters of the Club shall be on the premises and upon grounds at 187 Rosmead Avenue, Wynberg and which is leased by Wynberg Sports Club from the Cape City Council.
3. CLUB COLOURS & BADGE
3.1 Badge – The Badge of the Club will be the Wynberg Cricket Club Badge Incorporating the Mountain, Cricket Ball, Cricket Bats and a Falcon.
3.2 Colours -The colours of the Club will be Orange, Blue and White.
4. OBJECTS
The objects, intents and purposes of the Club shall be:-
4.1 to promote, encourage, advance, assist and protect all aspects of cricket;
4.2 to subscribe, enter into arrangements, contracts for purposes calculated
to promote the interests and attain the objects of the Club, or to augment it’s finances;
4.3 to encourage social activities among members and visitors to the Club;
4.4 To formulate and to regulate conditions which shall apply to competitions for such trophies as are offered to and accepted by the Club, and to provide for the proper custody, protection, exhibition and distribution of the same.
5. MANAGEMENT
5.1 The management, control and administration of all matters and affairs of the Club shall be vested in a controlling body, hereafter referred to as the Committee and which shall be composed as follows:-
Chairman
Vice-Chairman
Honorary Treasurer
Honorary Secretary
Club Captain and 3 (three) additional Members.
5.2 The Committee shall have the power to accept, refuse and cancel membership of the Club. The Selection Committee will consist of: 3 members elected at the A.G.M. plus the 1st team Captain and the Club Coach. The Captains shall be elected by the Committee & Selection Committee.
6. POWERS AND DUTIES OF COMMITTEE MEMBERS
6.1 CHAIRMAN
6.1.1 The Chairman, and in his absence, the Vice Chairman, shall represent the Club at all outside meetings, unless otherwise decided by the Committee.
6.1.2 The Chairman shall be known and accepted as the functional Head of the Club.
6.1.3 He shall exercise a casting vote as well as a deliberate vote, where the voting is equal.
6.1.4 The Chairman shall be empowered to convene special meetings of the Club.
6.1.5 The Chairman shall convene all internal meetings.
6.2 VICE-CHAIRMAN
6.2.1 The Vice-Chairman, shall in the absence of the Chairman, attend all outside meetings, unless otherwise decided by the Committee. He shall convene all internal meetings in the absence of the Chairman. He shall audit all financial reports. He shall oversee all duties issued by the Committee to Additional Members.
6.3 HONORARY TREASURER
6.3.1 The Honorary Treasurer shall have the control of the receipts and payments of the Club, shall submit financial reports to the Committee, as and when so required, and to present accounts for payment. It shall be the duty of the Honorary Treasurer to see that all monies received are to be deposited in the Club’s account.
6.3.2 He shall act ex – officio on any sub – committee which may be concerned with income and/or expenditure. He shall be empowered to pay all authorised and routine accounts and to submit proper books of accounts for auditing twice seasonly and shall cause the preparation of a financial statement for presentation to the Annual General Meeting.
6.4 HONORARY SECRETARY
6.4.1 To conduct all correspondence under the direction of the Chairman.
6.4.2 To issue all notices of meetings by direction of the Chairman.
6.4.3 To prepare and present the minutes of previous meetings for confirmation.
6.4.4 To bring all communications directed to the Club, or through any other channel, to the notice of the Committee members at the first meeting subsequent to the receipt of such communication.
6.4.5 To perform all duties relevant with the Secretary’s Office.
6.5 CLUB CAPTAIN
6.5.1 The Club Captain shall act as the intermediary between a member and the Committee.
6.5.2 He shall bring to the notice of the full Committee any grievance, or part grievance, of a member and report back to the member on the action taken or decision made by the Committee.
6.6 ADDITIONAL MEMBERS
6.6.1 Duties will be allocated to the Additional Members at the first Committee meeting subsequent to the Annual General Meeting.
6.7 HONORARY POSITIONS
6.7.1 An Honorary President or Life Member as may be deemed desirable may be appointed by the members present at the Annual General Meeting, provided that:
6.7.2 No person shall be proposed or appointed as Honorary President/Life Member, save in accordance with a prior recommendation from the Executive Committee to that effect; and that
6.7.3 Honorary President – No person other than a Member entitled to vote who has been a long standing member of the Wynberg Cricket Club (Minimum 15 consecutive years) and served on the Committee for (Minimum 10 years)
6.7.4 Life Members – No person other than a Member entitled to vote who has been a long standing member of the Wynberg Cricket Club with Minimum 15 years and served on the Committee for Minimum 7 years.
6.7.4.1 No person other than a paid up Member is entitled to nominate a Life Member – any nominee will have to be nominated and put on the Agenda 14 days prior to the next AGM.
6.7.4.2 At the AGM if there is 1 (one) paid up member who is against nomination and can prove that the member does not meet the criteria, the nomination becomes null and void.
7. ADDITIONAL POWERS
In addition to their duties, members of the Committee shall be vested with the following powers:-
7.1 To institute or defend any action, or any action at law by or against the Club.
7.2 The Committee shall formulate all the forms required in connection with rules and regulations of the Club.
7.3 In the event of an emergency arising, the Chairman shall have the power to act for and on behalf of the Committee, with the proviso that such action be confirmed at the next meeting to the entire Committee.
7.4 To fill any vacancy/vacancies that may occur on the Committee, without having to call a Special General Meeting.
7.5 To appoint sub – committees and confer on them all or any of the powers vested in it under these rules.
7.6 The Disciplinary Committee shall consist of the ruling Committee, which shall deal with all cases of misconduct, misdemeanour, breach of Rules and Bye – Laws of the Constitution and for bringing the Club into disrepute.
7.7 To hear, to deal with, consider and decide upon appeals or complaints by bona fide members.
7.8 No member having been suspended shall be re – instated without the consent of the Committee.
7.9 To decide any disputes, points and questions arising out of competitions played under the Club’s jurisdiction.
7.10 In any enquiry, the Club shall have the right to subpoena any official or member to give evidence.
7.11 To generally carry out the objects of the Club and for such purposes to do and perform all such acts and things as may be required as necessary.
7.12 Should the Committee disregard their responsibility towards any member, such member shall be empowered to demand a meeting between the Committee and himself. The member concerned shall inform the Club Captain in writing for such a meeting, which shall be held within 7 days of receipt of such letter.
7.13 For meetings as requested above, the Committee shall consist of not less than 5 members and not more than 7 members. The voting powers shall be equal, except in the case of the Chairman or the Vice-Chairman, should he chair the meeting, who shall have a casting vote as well as a deliberate vote.
The Committee shall have full power and authority to do any act which could or might be done by the Club, except in respect of such matters as are reserved by this Constitution, to be dealt with by General Meeting.
The Committee will be responsible for the nominations and selection of trophy winners using the criteria approved by the Committee.
8. VOTING POWER
8.1 The Committee members shall have one (1) vote each, except in the case of the Chairman, who shall have a casting vote as well as a deliberate vote, when the voting is equal.
8.2 Each member shall have one (1) vote.
8.3 Members can nominate and cast their votes in absentia by submitting it to the Secretary in writing seven (7) days prior to the Annual General Meeting.
8.4 Life members shall be entitled to vote at Annual, Special and General meetings,
9. MEMBERSHIP QUALIFICATIONS
9.1 All persons at present affiliated to the Club shall, in future, be known and referred to as members.
9.2 All members of the Club shall be duly registered in the members’ register of the Club.
9.3 Any candidate for admission to the Club, shall complete the prescribed registration form and such form shall be proposed and seconded by two (2) Committee members.
9.4 The registration form, shall be handed to the Honorary Secretary.
9.5 Any member who wishes to object to the admission of such new candidate, shall give his reasons in writing to the Chairman, within fourteen (14) days of proposed date, if not, such member will be acceptable.
9.6 The Committee shall be empowered to deal with all questions of eligibility and shall have the power, without giving cause to reason, to refuse, suspend or cancel any such application and the Chairman or the Honorary Secretary of the Club, shall inform such candidate accordingly.
9.7 All members shall be deemed to pay the annual subscription fees on or before 31st October each year, irrespective of whether the subscription fees may be increased at forthcoming Annual or Special meetings of the Club.
9.8 Members can arrange to pay such fees off monthly, by making the necessary arrangements with the Honorary Treasurer.
10. LIFE MEMBERS
Life members, those already in possession of the privileges for special services rendered to the Wynberg Cricket Club and approved by the respective Committees, shall be elected as such at any Annual General Meeting (see clause 6.7.4)
11. SOCIAL MEMBERS
Social members are those who desire to assist in furthering the interest of the Club through non – participation, continued presence and support.
12. PLAYING MEMBERS
Playing members shall be all those members who are at the date and adoption of this Constitution, registered in the books of the Club as members or are hereafter elected as playing members in Article 9 (2).
13. JUNIOR MEMBERS
13.1 Junior members shall be those who were registered in the books of the Club as at the date of adoption of this Constitution and shall not be more than eighteen (18) years of age and those which the Committee shall thereafter admit.
13.2 They shall continue to be eligible for Junior subscription until upon their leaving of school to earn their living.
13.3 The Committee shall be empowered to waive the age limit as set out in (1) above, depending on the circumstances related thereto.
14. STUDENTS
Student members shall be those who were registered with the Club whilst studying at either University, Technikon or any Academical Institution and shall be classified as student members.
15. ANNUAL SUBSCRIPTIONS
15.1 Should any member fail to pay his subscriptions by 31 December, such member will be classified as a defaulter and refused any further credit. All defaulters could be suspended from playing by the Committee.
15.2 The Committee shall keep a register of members and the required details, which shall be kept by the Honorary Secretary and Treasurer.
15.3 Senior Members – Senior Members (age 60 years plus) shall be entitled to pay an annual subscription at such special rate as may be determined from time to time,
which shall be kept by the Honorary Secretary and Treasurer.
16. ANNUAL, GENERAL AND SPECIAL MEETINGS
16.1 The Annual General Meeting of the Club shall be held on the Monday, a week before the Annual Presentation Dance, and the Secretary shall give (14) fourteen days’ notice of the date thereof to all members.
16.2 Every member shall be deemed to be acquainted with the Constitution, Rules and Bye-Laws of the Club and to be subjected thereto.
17. BUSINESS AT THE ANNUAL GENERAL MEETING
17.1 Notice convening the meeting.
17.2 Attendance Register.
17.3 Apologies.
17.4 To read and confirm the minutes of the previous Annual General meeting.
17.5 Matters arising therefrom.
17.6 To receive, confirm and adopt the Treasurer’s Report and the Financial Statement and to discuss matters arising therefrom. To elect the Office Bearers for the ensuing year. To elect the Selection Committee.
17.9 To consider any proposed additions, alterations or amendments to the Constitution, Rules and Bye-Laws.
17.10 To deal with correspondence – if any.
17.11 To discuss any other business – general.
17.12 To close the meeting.
18. COMMITTEE MEETINGS
18.1 Meetings of the Committee shall be held as often as necessary to properly conduct the affairs of the club.
18.2 A quorum for such meeting shall be five (5).
18.3 Honorary Secretary to notify the Committee one week in advance of such meeting.
18.4 Any Committee member failing to attend 3 (three) consecutive meetings, shall be deemed to have vacated his seat and the Committee shall have the power to elect another member in his place until the next Annual General Meeting. The President is an exception to this rule.
19. SPECIAL GENERAL MEETINGS
A Special General Meeting of the Club shall be called by the Committee as it may deem fit or on a resolution or requisition delivered to the Secretary of the Club signed by 75% of the members.
20. PROCEDURE AT A SPECIAL GENERAL MEETING
20.1 To read the notice convening the meeting.
20.2 To discuss the special business for which the meeting was convened.
20.3 To resolve or reject item (2) above in it’s original or amended form.
20.4 Closure.
21. QUORUM
A quorum for the Annual General Meeting shall be minimum 33% of total fully paid up members eligible to vote.
22. CLOSURE OF WYNBERG CRICKET CLUB
Should the Club de-register from Western Province Cricket Association and ceases to exist then all monies and assets shall be donated to any registered charity or organisation by the last elected Committee members of the Wynberg Cricket Club.
23. ADOPTION OF THE CONSTITUTION, RULES AND BYE-LAWS
The aforementioned articles, rules and bye-laws of the Constitution were adopted at an Annual General Meeting of the Club.

to promote the spirit of non-racialism, to ensure representatively in all club structures and to enable each member to have an opportunity to develop his skills;
and to ensure that the administration of the club continues to run effectively and efficiently.
